The following terms and conditions apply to the entire development of the website and to all the services provided by TOTAL SYNERGY TECH, SA to the Client.

Acceptance

No Client needs to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote, then the Client will be deemed to have satisfied the terms of use and accepted these terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

Charges

The charges for the services to be provided by PART OF TOTAL SYNERGY TECH, SA are defined in the project budget that the Client receives via email. TOTAL SYNERGY TECH, SA reserves the right to alter or decline the listing offer after the expiration of the 14 days.

Unless otherwise agreed with the Client, all website services require an advance payment of a minimum of fifty (50) percent of the total project quote before the work is supplied to the Client for their review, with the remaining fifty (50) percent of the total project contribution due at the end of the work, before uploading it to the server or releasing materials such as passwords.

Payment for services is made by credit / debit card online. The bank details will be available on the invoices.

Customer review

TOTAL SYNERGY TECH, SA will provide the Client with the opportunity to review the appearance and content of the website during the design phase and once the general development of the website is completed. After the project, said materials will be considered accepted and approved unless the Client notifies TOTAL SYNERGY TECH, SA; otherwise, within ten (10) days after the date, the materials are made available to the Client.

Response time and content control

TOTAL SYNERGY TECH, SA will install and publish or supply the Client's website on the date specified in the project proposal or on the date agreed with the Client on receipt of the initial payment by TOTAL SYNERGY TECH, SA unless the Client specifically request a delay and be agreed by TOTAL SYNERGY TECH, SA

In return, the Client agrees to delegate a single individual as the primary contact to help TOTAL SYNERGY TECH, SA to progress in the commission in a satisfactory and reasonable manner.

TOTAL SYNERGY TECH, SA will require the Client to provide content, text and images of the website during the project.

Failure to provide the required content of the website:

TOTAL SYNERGY TECH, SA is a small company. To remain efficient, we must ensure that the work we have scheduled is carried out at the scheduled time. On occasion, we may have to decline offers for other jobs and inquiries to ensure your work is completed at the agreed time.

Suppose you agree to provide us with the required information and then fail to do so within a week of the start of the project. In that case, we reserve the right to close the project, and the remaining balance becomes payable immediately. Pay

TOTAL SYNERGY TECH, SA will provide the invoices once completed, but before publishing the live website. Invoices are normally sent by email. Invoices are due upon receipt. All prices are quoted in US dollars and do not include ITBMS 7%.

TOTAL SYNERGY TECH, SA is not responsible for the web pages that are not displayed in an acceptable way in the new versions of the browsers published after the design of the website and its delivery to the Client. As such, TOTAL SYNERGY TECH, SA reserves the right to quote any work involved in changing the website design or website code to work with updated browser software.

Predetermined

Accounts unpaid fourteen (14) days after the invoice date will be considered delinquent. If the Client maintains by default any information or files on the TOTAL SYNERGY TECH, SA Web space, TOTAL SYNERGY TECH, SA will remove, at its discretion, all such material from its web space. TOTAL SYNERGY TECH, SA is not responsible for the loss of data incurred due to the suppression of the service. Termination

The termination of services by the Client must be requested in a written notice and you will actually receive such information. Email or telephone requests for termination of services will not be accepted until and unless confirmed in writing. Customer will be billed for completed design work until first notice of cancellation for payment in full fourteen (14) days.

Compensation

All TOTAL SYNERGY TECH, SA services can only be used for lawful purposes. You agree to indemnify and maintain TOTAL SYNERGY TECH, SA regardless of any claim resulting from your use of our service that damages you or any other party.

Copyrights and licenses

The Client retains the copyright of the data, files and graphic logos provided by the Client and grants TOTAL SYNERGY TECH, SA the rights to publish and use said material. The Client must obtain permission and rights to use any information or files that a third party copyright. Access Requirements

Suppose the Client's website is to be installed on a third-party server. In that case, TOTAL SYNERGY TECH, SA must be granted temporary read / write access to the Client's storage directories which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

Domain names

TOTAL SYNERGY TECH, SA may acquire domain names on behalf of the Client. Payment and renewal of these domain names is the responsibility of the Customer. The loss, cancellation or not of the domain caused by non-payment or delay is not the responsibility of TOTAL SYNERGY TECH, SA The Client must keep a record of the due dates for the payment to ensure that the payment is received on time.

These Terms and Conditions supersede all prior representations, understandings, or agreements. The Client's signature below or the payment of an advance fee constitutes acceptance and acceptance of these Terms and Conditions. Online payment is an acceptance of our terms and conditions.

Applicable law

The Law of Panama will govern this Agreement.

Responsibility

Divisibility

In the event that one or more of the provisions of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement will not be left intact, and the Agreement will not be void for this reason alone. Such invalid, illegal, or unenforceable provision will be replaced by a mutually acceptable, valid, legal, and enforceable provision, which is closer to the intention of the parties underlying the invalid one.
